Terms of Service
1. Introduction
These Terms of Service (the "Terms") govern your access to and use of the Bedrock platform (the "Service"), provided by the operator of bedrock.estate ("Bedrock", "we", "us"). By creating an account or using the Service in any way you accept these Terms; if you do not accept them, you must not use the Service.
The Service is offered to professional users (estate agents, conveyancing solicitors, and other regulated property professionals based in the United Kingdom) and to the clients those professionals invite onto the Service. References to "you" apply to whichever of those roles is using the Service at the time.
2. Eligibility and accounts
You may use the Service only if:
- you are at least 18 years old and capable of entering a binding contract;
- if you are acting as a professional user, you (or your firm) hold any regulatory authorisation required to carry out the work the Service supports (for solicitors, authorisation by the SRA or equivalent; for estate agents, registration where required by law);
- your use of the Service complies with the laws of England and Wales and any other laws that apply to you.
You are responsible for keeping your credentials secure and for everything done under your account. Tell us immediately if you suspect your account has been accessed without your authority.
3. Your content
You retain ownership of any content you upload to the Service (transaction details, client information, documents, messages, etc., together "Your Content"). You grant Bedrock a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display and process Your Content solely as needed to provide the Service to you and to the parties you have authorised to receive it (for example, your client or your firm's other operators).
You confirm that Your Content does not infringe any third party's rights and that, where it includes personal data of another person, you have a lawful basis to share that data with Bedrock for the purposes described in our Privacy Policy.
4. Acceptable use
You must not:
- use the Service for any unlawful purpose, or in breach of anti-money-laundering, financial-promotion or data-protection legislation that applies to you;
- upload material that is defamatory, fraudulent, infringing, malicious, or that contains malware;
- attempt to gain unauthorised access to any part of the Service, to another user's account, or to the underlying infrastructure;
- scrape, reverse engineer, or otherwise extract the Service's interfaces, code or data other than via the documented public API;
- use the Service to send unsolicited bulk communications.
5. Fees, payments and refunds
Where a professional user uses the Service to collect payments from clients, those payments are processed by Stripe (Stripe Payments UK, Ltd. or its affiliates) and routed to the professional user's connected Stripe account. Bedrock may take a platform fee from each such payment as agreed with the firm; that fee is shown in the firm's settings.
Refunds (whether full or partial) may be issued by the firm that received the original payment or, on request, by Bedrock support. Where a refund is issued, the platform fee on the original payment is by default refunded with it. The firm can override that default on a per-refund basis.
Bedrock does not at this time charge a subscription or per-transaction fee to professional users beyond the platform fee described above. We will give reasonable notice before introducing any such charge.
6. Third-party services
The Service depends on infrastructure and services provided by third parties, including (without limitation) Cloudflare (hosting, content delivery, storage), Supabase (database), Mailtrap (transactional email delivery), Stripe (payments and identity), Telnyx (SMS), Companies House (UK company data lookup), and, where you opt into AI features, Anthropic (large-language-model inference). Your use of those services through the Service is subject to those providers' own terms; our Privacy Policy describes how personal data flows to them.
The Service also links to or surfaces content from external websites and APIs that we do not control. We are not responsible for the content of those external resources.
7. Intellectual property
The Service, including the website, dashboards, source code, branding, copy and design, is owned by Bedrock or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose; nothing in these Terms transfers any ownership in the Service to you.
8. Professional responsibility
Where a professional user uses the Service to provide regulated services (legal advice, conveyancing, estate agency) to their clients, the professional user remains solely responsible for the quality of those services and for any obligations they have to their clients, to their regulator, and under the law (including anti-money-laundering and source-of-funds checks). Bedrock provides software tools; it does not provide legal services to the professional user's clients and does not assume any of the professional user's professional duties.
9. Warranty disclaimer
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data will be retained without loss.
10. Limitation of liability
Nothing in these Terms limits any liability that cannot be limited by law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the above, our total liability to you under or in connection with these Terms or the Service in any twelve-month period will not exceed the greater of (a) the platform fees you have paid to Bedrock in that period, or (b) £100. We will not be liable for indirect, special, consequential, or punitive damages, or for loss of profits, revenue, data, or opportunity, however caused.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if your use creates a security or legal risk, or if we cease to operate the Service. We will give reasonable notice where practical; on termination you may request an export of Your Content within a reasonable period, after which we may delete it subject to our retention obligations described in the Privacy Policy.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be notified to you by email or via the Service; continued use after the effective date constitutes acceptance.
13. Governing law and jurisdiction
These Terms and any dispute arising under them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Nothing in this clause prevents a consumer domiciled elsewhere in the UK from bringing proceedings in their local jurisdiction where they have a non-waivable right to do so.
